Entity Conversions: LLCs, Corporations, and S Corps, From One Thing to Another (REPLAY)

  Choice of entity is not a one-time decision. Businesses change their form of entity for many reasons – the tax or economic posture of owners may change, new investors may require a different form of entity, or market or regulatory conditions may indicate a different form of entity. Whenever an entity is converted from one form to another, significant tax liability and corporate or partnership law issues arise. One important consideration is how to modify underlying company agreements to ensure the basic economic arrangements of the business remain intact. This program will provide a real-world guide to entity conversions among C Corps, S Corps, partnerships and Limited Liability Companies, with extensive discussions of the tax and non-tax implications of the conversions.

Allen Sparkman is a partner in the Boulder, Colorado office of Sparkman Shaffer Perlick, LLP. He has practiced law for over thirty years in the areas of estate, tax, business, insurance, asset protection, and philanthropic planning matters for individuals, farmers, ranchers, businesses, and nonprofit organizations throughout the United States. Mr. Sparkman has written and lectured extensively on choice-of-entity, charitable giving and estate planning topics. He is the Colorado reporter for State Limited Partnership Laws and State Limited Liability Company Laws. (both published by Aspen Law & Business). He has also served as president of the Rocky Mountain Estate Planning Council. Mr. Sparkman received his A.B. with honors from Princeton University and his J.D. with high honors from the University of Texas.

Alson R. Martin is a partner in the Overland Park, Kansas office of Lathrop & Gage, LC, where he has a national practice focusing on business law, taxation, health care, and retirement plans. Mr. Martin practice focuses on representing professional businesses, especially physicians. Mr. Martin is listed in The Best Lawyers in America and is author of Limited Liability Companies and Partnerships and the co-author of Kansas Corporation Law & Practice (Including Tax Aspects). He is President and a Director of the Small Business Council of America and former Chair of the American Bar Association Personal Service Organizations. Mr. Martin is a Phi Beta Kappa graduate of the University of Kansas (highest distinction), where he received his B.A., the New York University School of Law, where he was a Root-Tilden Scholar and received his J.D. cum laude and his LL.M. in Taxation.
